These Terms and Conditions ("Terms") govern your access to and use of the website and services of ELLYS INTERNATIONAL LOGISTICS LLC ("Ellys," "we," "us," or "our"). Please read them carefully. By accessing our website or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing www.ellysint.com, requesting a quote, tendering freight, or otherwise using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and by any additional written agreement you enter into with Ellys. If you do not agree, do not use our website or services. If you are using our services on behalf of a company, you represent that you are authorized to bind that company to these Terms.

2. Description of Services

Ellys is a US-based third-party logistics (3PL) provider and licensed property freight broker operating under its US Federal Motor Carrier Safety Administration (FMCSA) authority (US DOT# 4576045, MC# 1820877). We arrange for the transportation of freight between shippers and independent, licensed motor carriers for domestic US and cross-border US-Mexico lanes, and we offer related freight technology and software.

Ellys is a broker, not a motor carrier. Ellys does not own trucks and does not itself transport freight. We arrange transportation with third-party motor carriers who operate under their own authority, control, and insurance. Ellys is not liable as a carrier and does not assume the duties or liabilities of a motor carrier.

3. Quotes and Rates

Quotes and rate estimates provided through our website or communications are estimates for planning purposes only and are not binding until confirmed in writing by Ellys for a specific shipment. Rates may change based on final shipment details, market conditions, accessorial charges, equipment availability, fuel, and other factors. A shipment is booked only when confirmed by Ellys.

4. User Obligations

You agree to provide complete, accurate, and timely information for each shipment, including origin and destination, commodity description, weight, dimensions, equipment requirements, hazardous-material status, and pickup and delivery instructions. You are responsible for properly packaging, labeling, and loading freight in accordance with applicable law. Inaccurate or incomplete information may result in additional charges, delays, or service failures for which Ellys is not responsible.

5. No Guarantee of Specific Outcomes

While we work to arrange reliable transportation, Ellys does not guarantee the availability of any particular carrier, equipment, transit time, or delivery outcome. Transportation is performed by third-party carriers, and factors outside our control - including weather, traffic, mechanical issues, and carrier performance - may affect service.

6. Limitation of Liability

To the fullest extent permitted by law, Ellys's liability arising out of or relating to its brokerage services is limited to its role as a broker and shall not exceed the brokerage fee earned by Ellys on the applicable shipment. Ellys is not liable for cargo loss or damage; cargo claims are the responsibility of the transporting motor carrier and are handled per the carrier's liability and its insurer. In no event shall Ellys be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, even if advised of the possibility of such damages.

7. Cargo Claims

Claims for loss of or damage to freight should be documented at delivery and reported promptly. Such claims are pursued against the transporting motor carrier and its cargo insurer in accordance with applicable law and the carrier's terms. Ellys may assist in facilitating a claim as a courtesy but does not assume carrier liability.

8. Indemnification

You agree to indemnify, defend, and hold harmless Ellys and its officers, employees, and agents from and against any claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your breach of these Terms, your provision of inaccurate information, your freight, or your violation of any applicable law.

9. Intellectual Property

The website, technology platform, software, trademarks, logos, text, graphics, and other content are owned by or licensed to Ellys and are protected by intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works without our prior written consent. The "Ellys International" name and brand are the property of ELLYS INTERNATIONAL LOGISTICS LLC.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Illinois, USA, without regard to its conflict-of-laws principles, and subject to applicable US federal transportation law. You agree that any dispute arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the state and federal courts located in Cook County, Illinois.

11. Changes to These Terms

We may revise these Terms from time to time. When we do, we will update the "Last updated" date above. Your continued use of our website or services after changes take effect constitutes your acceptance of the revised Terms.
